The short version: be reasonable, pay for what you use, your data is yours. The long version follows — and it's the part that's legally binding.
Hourtab is a time-tracking and invoicing service — the website at hourtab.app, the Hourtab web application, and related services (together, the "Service"). The Service is provided by Typesoft Technology Inc. ("Typesoft", "we", "us", "our"), a corporation based in Montréal, Québec, Canada. "Hourtab" is a product, brand, and trademark of Typesoft.
These Terms of Use ("Terms") are a binding agreement between you and Typesoft. By creating an account, clicking "I agree", or using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you are authorized to bind it, and "you" means that business.
Hourtab provides time tracking, client and project management, invoice generation, invoice delivery with tracked links, invoice status and activity tracking, financial and sales-tax reports, and related features. We may add, change, or remove features over time. We will not materially reduce the core functionality of a paid plan during a billing period you have already paid for.
Your clients, projects, time entries, invoices, and other data you put into the Service are your content. You retain all rights to it. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your content solely to operate, secure, support, and improve the Service — for example, rendering an invoice page for a client you sent it to, or generating a PDF you requested. We do not sell your content, and we do not use it to advertise to anyone.
You represent that you have the rights necessary to submit your content and to send invoices and emails to the recipients you choose, and that your content and your use of it do not violate any law or third-party right.
When you add information about your clients and send them invoices, you determine what data is collected and why. With respect to that data you are the controller (or equivalent) and we act as your processor/service provider, handling it on your behalf under these Terms and our Privacy Policy. You are responsible for having a lawful basis to store your clients' information and to email them, and for complying with the privacy and anti-spam laws that apply to you (including, in Canada, applicable privacy legislation and Canada's Anti-Spam Legislation).
You are responsible for the accuracy and legality of the invoices you issue, including amounts, currencies, taxes, and compliance with the tax and invoicing rules that apply to you. Hourtab's tax calculations and reports are a convenience based on the settings you choose; they are not tax, accounting, or legal advice. Verify them, and consult a professional where appropriate.
You agree not to:
We may investigate, and may suspend or terminate accounts that violate these rules, with notice where practicable.
When you send an invoice through Hourtab, we email your client a link to a hosted invoice page and record events such as sends, views, and downloads, which appear in the invoice's activity timeline. The recipient is always derived from the client record you created, and the link uses an unguessable token so other invoices can't be enumerated. You are responsible for having an appropriate basis to email your clients. Delivery depends on third-party email infrastructure and the recipient's systems; we cannot guarantee receipt, and you should keep your own records.
The Service relies on third-party providers to function, including (currently) Supabase (database, authentication, and hosting), Stripe (payments), Resend (email delivery), and the Bank of Canada Valet API (foreign-exchange rates). Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions. The current list of significant subprocessors is described in our Privacy Policy, and may change as the Service evolves.
We aim for high availability, but the Service is provided on an "as available" basis; planned maintenance and unplanned outages can occur. Support is provided by email, with priority response on higher-tier plans. We may offer features labelled beta, preview, or experimental — these are provided "as is", may change or be withdrawn, and are excluded from any availability or support commitment. We recommend exporting important invoices and data for your own records.
The Service — including its software, design, text, and branding (including the "Hourtab" name and logo) — is owned by Typesoft Technology Inc. and protected by intellectual property laws. These Terms grant you only a limited, non-exclusive, non-transferable right to use the Service while these Terms are in effect; no other rights are granted. If you send us feedback or suggestions, we may use them without restriction or obligation to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CALCULATION, TAX FIGURE, OR REPORT WILL BE ACCURATE OR COMPLETE FOR YOUR PURPOSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYPESOFT TECHNOLOGY INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. Some jurisdictions do not allow certain limitations or exclusions, so parts of this section may not apply to you; nothing in these Terms limits liability that cannot be limited by law.
You will indemnify and hold harmless Typesoft Technology Inc. from and against any claims, damages, liabilities, and reasonable costs (including legal fees) arising out of your content, your use of the Service, your invoices and communications to your clients, or your breach of these Terms or of any law or third-party right.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, if your use poses a security or legal risk, or if required by law — with notice where practicable. On termination, your right to use the Service ends. You may export your data for 30 days after termination, after which it may be permanently deleted in accordance with our Privacy Policy. Sections that by their nature should survive (including content ownership, payment obligations accrued, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights you have, the courts of the judicial district of Montréal, Québec have exclusive jurisdiction over any dispute, and you consent to their jurisdiction. If you are a consumer in Québec, nothing in these Terms limits the rights you have under the Consumer Protection Act (Québec), and any provision that conflicts with those mandatory rights does not apply to you to that extent.
We may update these Terms from time to time. For material changes we will give at least 30 days' notice by email or in-app before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the Service and you may cancel.
